1) Issuer/Fundraiser’s Campaign Fees

🎯 7.5% Success Fee

Payable upon successful campaign completion, deductible from funds raised through the platform prior to remittance to the issuer/fundraiser.

 

⭐ Sample Computation of an Issuer raising Php 1,000,000.00 through the platform:

• Success Fee	: Php 75,000.00
  VAT	: Php 9,000.00
  WH Tax*	: (Php 11,250.00)

2) Break Fee & Penalty

✔️ 5% Break Fee

Payable as compensation to the intermediary, based on the committed funds of a campaign, for services rendered if the issuer initiates cancellation for a campaign, prior to the campaigns deadline, with at least a 67% funding target completed.  

 

⭐ Sample Computation: an Issuer/Fundraiser closes Php 1,000,000.00 in investments outside of the Platform

✔️ 7.5% Fee Tail

Payable upon closing of investment deals consummated by issuers and investors outside of the platform and other liquidation events payable for a period of 18 months after the closing of an issuer’s latest Round One campaign. 

 

3) Transaction Fees for Secondary Sales & Share Buy Backs

✔️ 1.5% Commission

On secondary sale transactions for the account of the buyer and seller, respectively, for all gross purchase and sales transactions.

✔️ 12% VAT

On transaction's the above commissions.

Issuers who wish to terminate their relationship with Round One are required to complete the process of closing their platform account, securing repurchase of previously issued CF securities and certifying their intention to discontinue reportorial requirements. 

 

✔️15% Net Capital Gains Tax

On net gains on secondary sale of shares sold. Note that the NCT is the responsibility of the seller of shares to file and pay to the BIR.

• Total Proceeds from Sale		: Php 1,000,000.00
  Less Acquisition Cost	: Php (500,0000.00)

4) Registration Fees

Administrative fees related to registration of issuer’s first campaigns, account opening of cash account, due diligence and enhanced due diligence.

• Php 5,000.00 payable upon submission of Campaign Offering Form
• P20,000.00 prior to official Campaign Launch

 

📋 Php 10,000.00 Issuer Campaign Registration Fee 

Administrative fees related to registration of issuer’s subsequent campaigns, account opening of cash account, due diligence and enhanced due diligence.

5) Miscellaneous Charges & Fees 

Transfer charges & fees related to transfer of beneficial ownership from issuer to investors, between investors. These charges may reflect fees related to the filing of legal registration documents of any kind related to share purchases.

6) Sanctions & Penalties

For violations of crowdfunding rules, industry regulations, terms and conditions of service and community guidelines applicable to all Round One platform users
